Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Magpie Nexus, Inc. ("Magpie Nexus", "we", "us", or "our"), a company incorporated in the State of Delaware, United States. They govern your access to and use of QR Code Genius — our websites, dashboard, QR code generator, short links, and APIs (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance and Eligibility

You must be at least 18 years old, or the age of majority where you live, and legally capable of entering into a contract to use the Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to it.

2. The Service

QR Code Genius lets you create static and dynamic QR codes and short links; customize their design; organize codes in folders; schedule activation and expiry; protect codes with passwords; run A/B tests; connect custom domains; view scan analytics; receive scan notifications; and generate codes programmatically through our API. Feature availability depends on your plan. We are constantly improving the Service and may add, change, or remove features; where a change materially reduces the core functionality of a paid plan, we will give you reasonable advance notice.

3. Accounts and Security

You must provide accurate information when creating your account and keep it up to date. You are responsible for safeguarding your login credentials and API keys and for all activity that occurs under your account. Notify us immediately at support@qrcodegenius.com if you suspect unauthorized use of your account.

4. Plans, Credits, and Billing

  • Plans. The Service is offered on a free plan and one or more paid subscription plans. Each plan includes a monthly usage allowance that resets each billing cycle. You may also purchase prepaid credit packs, which are consumed after your included monthly allowance is exhausted.
  • Billing. Paid subscriptions and credit purchases are processed by Stripe. By subscribing, you authorize recurring charges to your payment method at the start of each billing cycle until you cancel.
  • Cancellation. You can cancel your subscription at any time through the billing portal in your dashboard. Cancellation takes effect at the end of the current billing period, and you keep access to paid features until then.
  • Refunds. Except where required by law or expressly stated otherwise, fees and credit purchases are non-refundable, including for partially used billing periods.
  • Trials. If a plan includes a trial, the paid subscription starts automatically when the trial ends unless you cancel first.
  • Price changes. We may change our prices. Price changes take effect at your next billing cycle, and we will give you reasonable advance notice before any increase applies to you.
  • Taxes. Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes.
  • Non-payment. If a renewal payment fails, we may downgrade or suspend paid features after a reasonable number of retry attempts and notice.

5. Acceptable Use

You agree not to use the Service to:

  • violate any law or regulation, or infringe anyone's intellectual property, privacy, or other rights;
  • conduct phishing, distribute malware, or direct people to deceptive, fraudulent, or harmful destinations;
  • mislead people about where a QR code or short link leads, or swap a code's destination to abusive content after distribution;
  • send spam or unsolicited communications;
  • distribute content that is illegal, sexually exploits minors, or promotes violence or hatred;
  • collect personal data from people who scan your codes without a lawful basis and any legally required notice or consent;
  • circumvent usage limits, metering, or access controls, probe or test the security of the Service without our written authorization, or interfere with its operation;
  • resell, sublicense, or white-label the Service except as expressly permitted by your plan.

We may review QR codes and destinations that are reported or flagged for abuse and may disable any code, link, or account that we reasonably believe violates these Terms, without prior notice where the risk to others is serious.

6. Your Content

You retain ownership of the content you store in the Service — destination URLs, designs, uploaded images and documents, and the data placed in your codes ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display Your Content solely as needed to operate, provide, and improve the Service.

You are solely responsible for Your Content and for your campaigns. In particular: you warrant that you have all rights needed to use and share Your Content; you are responsible for complying with privacy and data protection laws with respect to people who scan your codes, including any required notices or consents for the scan analytics the Service provides to you; and you acknowledge that logo images and profile pictures are stored in publicly addressable storage. We may remove content that violates these Terms.

7. QR Codes, Short Links, and Availability

Dynamic QR codes and short links resolve through our redirect infrastructure and therefore depend on the Service and your account remaining in good standing. If your account is terminated, or if a feature your code depends on is not included in your current plan, the affected codes may stop resolving. Codes you schedule or set to expire will stop resolving according to the settings you choose. We are not responsible for the content of third-party destinations that codes point to. We aim for high availability but do not guarantee uninterrupted operation.

8. API Use

API access is authenticated with API keys, which are confidential: do not embed them in client-side code or share them. You are responsible for all requests made with your keys. API usage is metered against your plan's allowance and prepaid credits, and is subject to rate limits. We may throttle, suspend, or revoke API access that exceeds limits, degrades the Service, or violates these Terms.

9. Intellectual Property

The Service — including its software, design, and branding — is owned by Magpie Nexus and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. The QR code images you generate with the Service may be used for your personal and commercial purposes. If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.

10. Third-Party Services

The Service integrates third-party services, including Stripe for payments and Google for optional sign-in. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. Likewise, destinations that QR codes point to are controlled by their respective owners.

11. Suspension and Termination

You may stop using the Service at any time and may request deletion of your account by contacting support@qrcodegenius.com. We may suspend or terminate your access — after notice where practicable — if you materially breach these Terms, if your use creates risk or possible legal exposure for us or others, or if required by law. Upon termination, your dynamic codes and short links stop resolving and your data is deleted as described in our Privacy Policy. Sections that by their nature should survive termination (including Your Content warranties, disclaimers, limitation of liability, indemnification, and governing law) survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT SCAN ANALYTICS (INCLUDING IP-BASED LOCATION ESTIMATES) WILL BE ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGPIE NEXUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS (USD 100). THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND NOTHING IN THESE TERMS AFFECTS STATUTORY RIGHTS THAT CONSUMERS HAVE UNDER MANDATORY LOCAL LAW.

14. Indemnification

You will indemnify and hold harmless Magpie Nexus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of Your Content, your campaigns, your violation of these Terms, or your violation of any law or the rights of a third party.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. If you are a consumer, this section does not deprive you of the protection of mandatory consumer-protection rules, or access to the courts, of the country where you habitually reside.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date above, and we will give you reasonable advance notice of material changes, for example by email or a notice in the Service. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and, if applicable, cancel your subscription before the change takes effect.

17. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control. These Terms are provided in several languages for convenience; if there is any conflict between versions, the English version controls.
